What is an NDA and How Can It Help Protect Your Intellectual Property?
An NDA, or Non-Disclosure Agreement (also known as a Confidentiality Agreement) is a written, legally binding agreement that governs the disclosure and protection of proprietary information shared by and between the parties to the agreement. NDAs can be very helpful in protecting your intellectual property rights in a number of ways including:
· Ensuring the confidentiality of proprietary or sensitive information such as innovative ideas, business strategies and trade secrets.
· Protecting patent rights in particular – public disclosure can significantly impact the ability to secure patent registration and an NDA can help ensure the information is not publicly disclosed in a way that forecloses patent protections.

NDAs are commonly utilized as to business-to-business dealings (collaborations, mergers and acquisitions, etc.), business-to-employee or independent contractor dealings, service or sales relationships, or any dealings with third parties in which sensitive or proprietary information will be (or could be) shared.
