Melanie S. Klint, Of Counsel, has over 25 years of domestic and international commercial transactions, securities, governance and mergers and acquisitions experience. Melanie is a result-oriented, business-driven, strategic counsel. She has a history of delivering innovative legal and business solutions. Melanie is the former Vice President of Legal of Mavenir Systems, Inc. (NYSE: MVNR), a leading provider of software-based networking solutions with revenues of over $129 million and Deputy General Counsel and Assistant Secretary for MetroPCS Communications, Inc. (NYSE:PCS), the fifth largest wireless company in the United States and a Fortune 500 company with revenues of over $5 billion. Melanie has extensive experience providing strategic legal and business advice, drafting and negotiating corporate securities, mergers and acquisitions, financings and complex commercial transactions. Melanie has closed numerous public offering transactions including the negotiation of a tender offer by a French private life sciences company for a US public company for approximately $100 million; the reverse merger of a US private company specializing in new drug development into a US public health/pharmaceutical company for approximately $101 million; and the tender offer of a US public company by an international private company for $100 million. Melanie’s breadth of experience extends to numerous acquisitions and dispositions in the public and private arena, including the acquisition and merger of mobile gateway solution and broadband company for $29 million; the stock merger of a telecom signaling solutions company for $20 million; and the closing of the largest U.S. business combination in 2012 with Deutsche Telekom/T-Mobile USA valued in excess of $30 billion. Melanie has advised company management and Boards of Directors in diverse industries on corporate governance matters and designed, developed and implemented corporate compliance and reporting programs, including the drafting of policies and procedures to transition a company towards public company compliance, such as the Code of Conduct, Anti-Bribery Policy (dealing with FCPA and UK Bribery Act), Insider Trading Policy, Whistleblower Policy, and OFAC Policy. Melanie has also worked with private equity, venture capital, commercial and institutional investors over the years on various financings, recapitalizations and securitizations, including the closing of raised and refinanced $28 billion in leveraged and high yield, registered and 144A financings, secured loans, bridge loans, consent solicitations and other financial transactions totaling approximately $27 billion; completed a $30 million Regulation S Offering to fund future expansion; and raised over $50 million in private placement with top investment firms and venture capitalist. Melanie earned a J.D. from Southern Methodist University School of Law, and a B.B.A in Financial Planning and Marketing from Baylor University.
